Agreement to these Terms
These Terms and Conditions (the “Terms”) are a legally binding agreement between you and Principal Media Communications, LLC (“PMC,” “we,” “us,” or “our”) governing your access to and use of pmcthinkers.com, its pages, forms, chatbot, calculators, downloadable materials, and other website features (collectively, the “Site”). By accessing or using the Site, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy.
If you use the Site on behalf of a company or other organization, you represent that you are authorized to accept these Terms on its behalf. If you do not agree, do not use the Site.
Eligibility and business use
The Site is intended for adults and business users. You must be at least 18 years old and legally capable of entering a binding agreement. The Site is not directed to children.
You are responsible for ensuring that your use is lawful where you are located. Certain assessments and resources are designed for executives and representatives of fashion, beauty, lifestyle, consumer, and ecommerce businesses; access to the Site does not establish that PMC will accept you or your organization as a client.
Permitted use and prohibited conduct
PMC grants you a limited, revocable, non-exclusive, non-transferable right to use the Site for lawful informational and internal business-evaluation purposes.
- You may not copy, scrape, harvest, republish, sell, sublicense, frame, mirror, or commercially exploit the Site or its content except with PMC's written permission.
- You may not interfere with Site security, probe vulnerabilities, bypass access controls, introduce malicious code, overload infrastructure, or use automated systems in a manner that disrupts the Site.
- You may not impersonate another person, submit false or misleading information, infringe another party's rights, or use the Site for unlawful, fraudulent, harassing, or abusive activity.
- You may not use Site content, proprietary methodologies, prompts, reports, or outputs to train or improve a competing commercial system or service without written permission.
Search engines and AI crawlers may access publicly designated crawler resources in accordance with our robots directives. Those directives do not grant ownership, a license to protected materials, or permission to misrepresent PMC.
Intellectual property and brand rights
The Site and its text, designs, graphics, photographs, videos, code, downloads, frameworks, reports, taxonomies, selection and arrangement are owned by or licensed to PMC and protected by intellectual-property laws. Principal Media Communications, PMC, PMC Thinkers, Cult Engine™, associated names, logos, slogans, and trade dress are PMC property or used under license.
You may print or download one copy of a resource expressly offered for download for your own internal, non-commercial business evaluation. You must retain notices and may not modify, publicly distribute, or create derivative commercial works from it. No implied license is granted.
If you believe material on the Site infringes your copyright or trademark, send a detailed notice identifying the work, the challenged material and URL, your contact information, the basis for your claim, and a statement of good-faith accuracy to the contact in Section 21.
Forms, submissions, and user-provided information
You may provide contact information, company details, revenue ranges, goals, technology and data maturity, challenges, files, chatbot messages, and other information. You represent that you have the right to provide it, that it is accurate in all material respects, and that doing so does not violate law, confidentiality obligations, or third-party rights.
Do not submit payment-card information, government identifiers, health information, passwords, trade secrets, or highly sensitive personal data through general Site forms or the chatbot. Submission does not create a fiduciary, advisory, employment, partnership, agency, or client relationship. PMC may use submissions to respond, evaluate fit, provide requested resources, improve operations, prevent misuse, and market services as described in the Privacy Policy.
Informational content; no professional advice
Site content is general information about growth strategy, marketing, media, retention, ecommerce, customer economics, measurement, and related subjects. It is not legal, tax, accounting, investment, valuation, cybersecurity, or other regulated professional advice. You should consult qualified advisers before acting on matters requiring professional judgment.
Examples, articles, benchmarks, equations, definitions, and recommendations may be simplified, time-sensitive, based on assumptions, or unsuitable for your circumstances. You remain solely responsible for decisions, implementation, compliance, budgets, and results.
Calculators, scores, projections, and illustrative materials
Calculators, qualification scores, tier recommendations, opportunity estimates, readiness assessments, sample blueprints, KPI decks, case illustrations, composites, and modeled scenarios are provided for education and preliminary discussion. They are not audits, forecasts, valuations, offers, promises, or guarantees.
Outputs depend on user inputs and assumptions that PMC may not independently verify. Actual outcomes vary based on data quality, product economics, pricing, returns, inventory, execution, competition, attribution limits, customer behavior, market conditions, and factors beyond PMC's control. No output should be used as the sole basis for a financial or business decision.
AI-assisted features and chatbot
The PMC Growth Advisor and certain content workflows may use artificial intelligence. AI output can be incomplete, inaccurate, outdated, inconsistent, or unsuitable. The chatbot is designed for preliminary qualification and routing, not confidential advice, emergency support, or final commercial commitments.
You must review AI output independently. Do not rely on it as a substitute for a signed proposal, scope, audit, or advice from a qualified professional. PMC may process chatbot prompts and responses to operate the feature, evaluate fit, maintain security, and improve services in accordance with the Privacy Policy.
Prospective and current client services
Descriptions of audits, diagnostics, programs, deliverables, timelines, risk-reversal terms, fee alignment, KPI gates, or service models are invitations to discuss potential services and are not binding offers. Availability and acceptance are subject to diligence, mutual fit, capacity, scope, and a signed written agreement.
A signed client agreement controls. If PMC and a client enter into a master services agreement, statement of work, order form, proposal, nondisclosure agreement, data-processing agreement, or similar signed writing, that writing governs the covered services and controls over conflicting Site content or these Terms. Website copy cannot amend a signed agreement.
Nothing on the Site guarantees revenue, profit, CLTV, MER, CAC, retention, valuation, or any other result. Performance-aligned compensation, if offered, requires written baseline definitions, measurement rules, exclusions, data access, and dispute procedures.
Electronic communications and marketing
When you submit a form, request a download, use the chatbot, book a call, or contact PMC, you consent to receive transactional communications relating to that request by email or other information you provide. Where permitted by law, PMC may also send relevant business-development or marketing messages.
You may opt out of promotional email using an unsubscribe link or by contacting us. Opting out does not prevent operational, legal, security, or service communications. You are responsible for maintaining accurate contact information and safeguarding communications delivered to your systems.
Third-party services and links
The Site may link to or integrate with third-party services, including scheduling, analytics, communications, social networks, or other tools. Third parties operate under their own terms and privacy notices. PMC does not control and is not responsible for their content, availability, security, policies, or acts.
A link or integration does not imply endorsement. Your use of a third-party service is at your own risk, and you are responsible for reviewing its terms before use.
Confidentiality and data room materials
Public Site use does not create a confidentiality obligation. Do not disclose confidential information until an appropriate written nondisclosure or client agreement is in effect. If PMC provides password-protected, proposal, diligence, audit, or client materials designated confidential, you may use them only for the authorized purpose and may not disclose them except as the applicable signed agreement permits.
Site availability, changes, and security
PMC may change, suspend, restrict, or discontinue any part of the Site at any time. We do not promise uninterrupted, secure, or error-free operation, compatibility with every device, or continued availability of any content or download. Maintenance, third-party outages, network conditions, attacks, and other events may affect access.
You are responsible for your own devices, connectivity, security controls, backups, and use of downloaded files.
Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, OUTPUTS, DOWNLOADS, AND FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PMC DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
PMC does not warrant that the Site will meet your requirements, that information will be complete or current, that defects will be corrected, or that use will produce any particular business or financial result. Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PMC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE SITE, EVEN IF ADVISED OF THE POSSIBILITY.
PMC'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID PMC specifically for access to the Site during the preceding twelve months, whichever is greater. This limitation does not govern liabilities under a signed client agreement, which are governed by that agreement. Applicable law may provide non-waivable rights.
Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless PMC and its members, officers, employees, contractors, affiliates, and licensors from claims, damages, judgments, losses, liabilities, costs, and reasonable attorneys' fees arising out of your unlawful use of the Site, your submissions, your violation of these Terms, or your infringement of another person's rights.
Suspension and termination
PMC may suspend or terminate your access without notice when reasonably necessary to protect the Site, PMC, users, or third parties; investigate suspected misuse; comply with law; or enforce these Terms. Provisions that by their nature should survive—including intellectual property, disclaimers, liability limits, indemnity, governing law, and general terms—survive termination.
New York law and forum
These Terms and disputes relating to the Site are governed by the laws of the State of New York, without regard to conflict-of-law principles. Subject to any non-waivable consumer right, you and PMC consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, and waive objections based on inconvenient forum.
Before filing a claim, each party agrees to send written notice describing the dispute and requested relief and to allow 30 days for good-faith informal resolution. This does not prevent either party from seeking urgent injunctive relief.
Changes to these Terms
PMC may update these Terms to reflect changes in the Site, services, law, or business practices. The “Last updated” date identifies the current version. Material changes may be highlighted on the Site or communicated through reasonable means. Your continued use after an update becomes effective constitutes acceptance, except where law requires additional notice or consent.
General provisions
These Terms and the Privacy Policy constitute the entire agreement concerning public Site use, subject to any controlling signed client agreement. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. PMC's failure to enforce a provision is not a waiver. You may not assign these Terms without PMC's written consent; PMC may assign them in connection with a reorganization, financing, sale, or transfer of the Site or business. Headings are for convenience only.
